TERMS AND CONDITIONS

1. OUR SERVICES

Cellular Diagnostics, a trading name of Boxes Ltd, that provides mobile device security diagnostics and the iOS Security Community platform (Services). Cellular Diagnostics identify spyware, malware, misconfigurations, and vulnerabilities on iOS/Android devices. The iOS Security Community provides educational content and peer discussion via Skool. You warrant you are the legal owner of devices submitted or have written authorisation. Services are advisory only; we do not guarantee detection of all threats.

2. INTELLECTUAL PROPERTY RIGHTS

We own all intellectual property rights in our Services, including diagnostic software, methodologies, reports, trademarks, and website content. We grant you a limited, non-exclusive, non-transferable licence to use diagnostic reports for personal security purposes only. No commercial use, resale, or redistribution permitted without written consent.

3. USER REPRESENTATIONS

By using Services, you represent that: (1) all registration information is accurate; (2) you are 18+ or have parental permission; (3) you have legal capacity to contract; (4) you are the device owner or authorised representative; (5) you will not use automated means (bots, scrapers) to access Services; (6) your use complies with applicable laws.

4. USER REGISTRATION

You must register to book diagnostics or join the Community. You agree to maintain accurate account information and keep passwords confidential. We reserve the right to remove inappropriate usernames or suspend accounts violating these Terms.

5. DIAGNOSTIC SERVICES

All diagnostic Services are performed by appointment at our Plymouth location or agreed alternative locations. You must bring devices fully charged with access credentials available. We do not guarantee all security issues will be identified. Reports represent professional assessment at time of service and are for informational purposes only. You are solely responsible for backing up devices prior to service.

6. DATA HANDLING AND PRIVACY

All device analysis is performed locally during appointments. We do not upload personal data, photos, messages, or contents to external servers. Diagnostic extracts and reports are permanently deleted within 48 hours unless you request extended secure storage in writing. See our Privacy Policy for full data processing details under UK GDPR.

7. PURCHASES AND PAYMENT

In-Person Diagnostics: Payments are processed via Square (online booking or card-present at our Plymouth location). All transactions are in GBP. You agree to provide accurate contact information for appointment coordination.

iOS Security Community: Subscription fees for Skool community access are processed via Stripe. Payments are in GBP and recur according to your selected billing cycle (monthly/annual). You agree to provide accurate billing information and maintain valid payment methods.

We do not store complete payment card details. Square and Stripe process transactions subject to their respective terms.

8. CANCELLATION AND REFUND POLICY

In-Person Diagnostics: More than 24 hours notice equals full refund or reschedule; less than 24 hours equals 50% refund; no-show or more than 15 minutes late equals forfeit payment with no refund. No refunds once diagnostic work begins. Refunds processed via Square to original payment method within 5-10 business days.

Community (Skool): Subscription cancellations take effect at period end. No prorated refunds unless required by law. Manage billing via your Skool account settings.

9. PROHIBITED ACTIVITIES

You may not: (1) submit stolen or illegally obtained devices; (2) use findings to harass or violate third-party privacy; (3) systematically scrape or data-mine our content; (4) circumvent security features; (5) upload viruses or harmful code; (6) impersonate others; (7) use Services for illegal purposes; (8) frame or link to Services without permission; (9) compete with us using our own Services; (10) submit false abuse reports.

10. USER GENERATED CONTRIBUTIONS

The Services may allow you to post reviews, comments, or feedback in the Community or on our platform. All Contributions must comply with Section 9. You are solely responsible for your Contributions and their accuracy.

11. CONTRIBUTION LICENCE

By submitting suggestions, feedback, or reviews (Submissions), you assign to us all intellectual property rights in such Submissions. You agree we may use them for any lawful purpose without compensation. You warrant Submissions are original, non-confidential, and do not violate third-party rights.

12. GUIDELINES FOR REVIEWS

Reviews must: (1) reflect first-hand experience; (2) avoid offensive language or discriminatory content; (3) not reference illegal activity; (4) not be posted by competitors; (5) not make legal conclusions; (6) not contain false statements. We may accept, reject, or remove reviews at our discretion. Reviews do not necessarily represent our opinions.

13. SERVICES MANAGEMENT

We reserve the right to: (1) monitor for violations; (2) take legal action against violators; (3) refuse, restrict, or disable access; (4) remove excessive or burdensome content; (5) manage Services to protect rights and property.

14. TERM AND TERMINATION

These Terms remain effective while you use Services. We may terminate or suspend your access immediately, without notice or liability, for any reason including breach of these Terms. Upon termination, all provisions surviving by nature shall continue (IP, liability, indemnity, etc.).

15. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove content at any time without notice. We may modify or discontinue all or part of Services without notice. We are not liable for any modification, price change, suspension, or discontinuance. Services may experience interruptions due to hardware, software, or other issues.

16. GOVERNING LAW

These Terms are governed by the laws of England and Wales. If you are an EU consumer, you retain protections under mandatory provisions of your country of residence. Both parties submit to the non-exclusive jurisdiction of UK courts.

17. DISPUTE RESOLUTION

Informal Negotiations: Contact info@cell-diag.com first. We will attempt informal resolution for 30 days.

Binding Arbitration: If unresolved, disputes shall be determined by one arbitrator under the Arbitration Act 1996, seated in Plymouth, UK, in English.

Exceptions: Intellectual property claims, theft allegations, and injunctive relief claims may be brought in court without arbitration.

Class Action Waiver: You agree to arbitrate only individual claims, not class actions.

18. CORRECTIONS

There may be errors or omissions in Services information. We reserve the right to correct errors and update information at any time without prior notice.

19. DISCLAIMER

Services are provided AS IS and AS AVAILABLE without warranties of any kind, either express or implied, including merchantability, fitness for purpose, or non-infringement. We do not warrant that Services will be uninterrupted, secure, or error-free. Diagnostic reports are advisory only.

20. LIMITATIONS OF LIABILITY

To the fullest extent permitted by law, we are not liable for: (1) indirect, consequential, incidental, special, or punitive damages; (2) lost profits or data loss; (3) device damage or data loss during diagnostics (despite due care); (4) third-party spyware removal complications; (5) pre-existing hardware defects revealed during inspection.

Our total liability for any claim is limited to the amount paid for the specific Service giving rise to the claim. For diagnostics, liability is capped at the service fee paid.

21. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Cellular Diagnostics, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (1) your use of Services; (2) device ownership disputes; (3) breach of these Terms; (4) violation of third-party rights; or (5) your Contributions.

22. USER DATA

While we perform routine backups, you are solely responsible for all data you transmit or that relates to your activity using Services. You agree we have no liability for any loss or corruption of such data. You are responsible for backing up devices before diagnostic Services.

23. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Site, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree they satisfy any legal requirement that such communication be in writing. You agree to electronic signatures, contracts, and records of transactions.

24. MISCELLANEOUS

These Terms and our Privacy Policy constitute the entire agreement. Our failure to enforce any right is not a waiver. If any provision is unenforceable, the remainder continues. We may assign our rights and obligations to others. We are not liable for failures beyond our reasonable control (force majeure).
